Terms of Service

Last updated 2026-09-19 · Effective 2026-09-19

1. Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “Customer”) and One2Many LLC, an Oklahoma limited liability company (“One2Many,” “we,” or “us”), concerning your access to and use of ResellMaxx (the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract. If you accept these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity, in which case “you” refers to that entity.

Accepting these Terms is not marketing consent. Nothing here is your permission, or anyone else’s permission, to be sent marketing messages. Consent to be contacted is collected separately, from the person who is to be contacted, and is governed by section 7.

2. The Service

ResellMaxx is a software-as-a-service platform for shops that buy used devices and, on a separate add-on, unopened diabetic supplies. Depending on your plan and what you switch on, it can include:

  • A hosted storefront on a ResellMaxx address or on your own domain, with a quote form and pages generated for your business.
  • A shared inbox for messages from the public, across the channels you connect, which may include SMS, email, Facebook Messenger and Instagram Direct.
  • An automated assistant that can answer those messages, quote from your price list, and arrange a meeting. See section 6.
  • Booking, which can create an appointment on a calendar you have connected.
  • Inventory, buyer and supplier records, invoicing and bills of sale, IMEI lookups, and marketplace alerting including the FBM Sniper add-on.
  • Reporting, including advertising spend and attribution for advertising accounts you connect, and conversion tracking as described in our Privacy Policy.

Features, limits and pricing may change. We may add, remove or modify features at our discretion, and will use reasonable efforts to notify you of material changes that adversely affect your use.

3. Accounts & Workspaces

When you sign up, we provision a workspace tied to your account. You are responsible for: (a) the accuracy of the information you provide; (b) keeping your credentials secure; (c) all activity that occurs under your account, including activity by the automated assistant you enabled; and (d) the actions of any users you invite. Notify us promptly at one2many@courtmcgee.biz of any suspected unauthorized access. We are not liable for losses arising from your failure to safeguard credentials.

Our staff can enter your workspace to support and repair it. What that involves, and what is recorded when it happens, is described in our Privacy Policy.

4. Subscriptions & Billing

There is no free trial. You choose a plan, you enter your card at checkout, and you are charged then. Your workspace is created after that payment succeeds. There is no trial period, no grace period before the first charge, and no step at which you have an account but have not yet paid.

Recurring charges. Subscriptions are billed monthly in advance through Stripe, Inc., and renew automatically each month until cancelled. By subscribing, you authorize us and Stripe to charge your payment method for all fees incurred. Fees exclude taxes, which are your responsibility where applicable. Current prices are shown on our pricing page. If we change the price of your plan, your existing subscription keeps its price until you change plans.

Cancelling. You cancel through the Stripe billing portal, reached from Billing in your settings. The portal tells you when the cancellation takes effect before you confirm it. Once your subscription is no longer active, the features your plan unlocked stop being available. Your data is not deleted at that moment; see section 10 and our Privacy Policy.

Changing plans. Changing plan, in either direction, is a new checkout for the new plan and is charged when you complete it. It does not wait for your renewal date and we do not pro-rate the change. If you are moving down a plan and would rather not pay twice in one month, contact us before you switch and we will arrange it by hand.

Refunds. Except where required by law, fees are non-refundable, and we do not give partial-period refunds or credits for unused time, removed users or a plan you moved down from. We have no automated refund process; if you believe you are owed one, email us and we will look at it.

Failed payments. If a charge fails, Stripe retries it on its own schedule. While a subscription is marked past due, your plan features keep working for three days from the moment it went past due, and then stop until payment succeeds. We may also suspend or terminate the Service for non-payment.

Accounts we provide without charge. We sometimes provide an account at no charge, or at a price agreed in writing, for a fixed period. Such an account has no subscription and none of the billing terms above apply to it while the arrangement lasts. When it lapses, access to the features that arrangement covered stops unless you subscribe.

5. IMEI Credits & Add-Ons

Some features consume credits or are sold as add-ons. IMEI credits are bought as a one-time payment in fixed packs and are added to a balance on your workspace. Credits are licensed, not sold, and unless we state otherwise at the point of purchase: (a) credits are non-refundable in money; (b) credits do not expire; (c) credits have no cash value and are not transferable; (d) what a single check costs in credits depends on which check you run and on our provider’s pricing, and may change; and (e) any free credits we grant may expire or be withdrawn. Where a check fails, the credits for it are returned to your balance automatically.

Bundled allowances such as FBM Sniper keyword slots are tied to an active subscription and end with it.

6. Automated Replies & Actions

Where your plan includes the assistant and you switch it on, the Service acts on your behalf without a person approving each act. It is important that you understand exactly what that means.

What it can do. The assistant can: write and send a reply to a member of the public in your name, on the channels you connected; quote a price from your own price list; create or update an appointment on a calendar you connected; schedule a follow-up message that is sent to that person at a later time without anyone reviewing it first; alert your team; and end a conversation. It is told the shop profile you entered, the recent history of that conversation, and any photographs the person sent in that turn.

It can be wrong. The assistant is generated by a language model. It can misread a message, quote a price you did not intend, promise something you cannot honour, book a time that does not work, misjudge a photograph, or answer a question incorrectly. We put checks in place and they are not a guarantee. Anything it sends is sent in your name and is your statement to your customer, not ours.

You configure it and you supervise it. You are responsible for the price list, the price floor, the business profile, the knowledge base and every other setting the assistant relies on, and for keeping them accurate. You are responsible for monitoring what it says and for stepping in. Controls to pause the assistant, to take over a conversation, and to disconnect a channel are in the product, and using them is your responsibility, not ours. If you are not prepared to supervise it, do not switch it on.

No guarantee of outcome. We do not warrant that an automated reply is accurate, appropriate, compliant with the law where your customer is, or fit for any purpose, and we are not liable for the consequences of one. Quotes, valuations and grading suggestions are estimates and not offers by us.

8. Connected Advertising Accounts

Authority. You represent that you own or are authorized to administer each advertising account you connect, and that you may lawfully permit ResellMaxx to read it. If the account belongs to a client or another business, you represent that you hold that authority and will produce evidence of it on request.

We read, we do not write. The advertising integrations read campaign and spend reporting. They do not create, edit, pause or delete campaigns, adverts or budgets, and they do not upload conversions to Google. If that ever changes, it will be a capability you switch on separately, under terms you are shown first, and not something an existing connection quietly starts doing.

Advertising spend is not our fee. What you spend on adverts is charged by the advertising platform to the payment method on that account. It is separate from your ResellMaxx subscription, we never receive it, and we do not refund it. You are responsible for every amount spent in a connected account.

Disconnecting does not stop your adverts. Disconnecting an advertising account from ResellMaxx stops us reading it. It does not pause, stop, or change anything running in that account. Your campaigns keep running and keep spending your money until you change them in the advertising platform itself. The same is true if your subscription lapses or your access token expires.

Their rules apply to you. Your use of a connected account remains subject to that platform’s own terms and advertising policies. Reporting figures we display come from the platform and may be restated by it; we do not warrant their accuracy.

9. Acceptable Use

You agree not to:

  • use the Service to traffic in stolen, lost, blacklisted, or fraudulently obtained devices, or to evade activation locks (including iCloud or Find My, MDM, or carrier blocks) you do not have lawful authority to remove;
  • violate any law, including consumer-protection, marketing and telemarketing, sanctions, anti-money-laundering, or export-control laws;
  • load data you do not have the right to share, including personal data of third parties without a lawful basis, or connect an account you are not authorized to administer;
  • send messages to anyone who has not given the consent section 7 requires, or who has asked you to stop;
  • interfere with the integrity of the Service, attempt to reach another workspace, bypass rate limits, scrape the Service, or reverse-engineer it;
  • use the Service to send spam, or to run automation against a third-party platform in breach of that platform’s terms, including Meta, Google and marketplace operators; or
  • resell, sublicense, or white-label the Service without our written consent.

We may investigate and take action, including immediate suspension, for suspected violations.

10. Customer Data & Ownership

You retain all rights to data you load or generate within your workspace (“Customer Data”), including inventory, buyers, suppliers, invoices, quote submissions, conversations and their attachments, advertising metrics and IMEI records. You grant us a limited licence to host, process and transmit Customer Data solely to operate, secure and support the Service for you, and to comply with law.

Our limits. The restrictions in our Privacy Policy are contractual terms and are incorporated here. In particular we do not sell Customer Data, do not use one customer’s data to serve or price another, do not publish or sell benchmarks, market reports or indexes derived from Customer Data whether identified, pseudonymised or aggregated, do not treat data derived from Customer Data as escaping those limits, and do not use Customer Data to train a machine-learning model of our own. The only exception is counts and aggregate statistics about the Service itself, which identify no workspace, no customer of a workspace and no individual, and which never describe what a shop pays, charges, buys or sells.

Export and deletion. You may ask for a copy of your Customer Data, or for it to be deleted, at any time, by emailing one2many@courtmcgee.biz. Today the only self-service export in the product is your billing credit ledger and there is no self-service workspace deletion, so we handle these by hand after verifying the request. After termination we may keep Customer Data for a commercially reasonable period for restoration, legal and audit purposes before deleting it, and a deleted record remains in a backup until that backup ages out.

If we are ever acquired, any successor takes Customer Data subject to these limits and may not widen them without giving you notice and a reasonable opportunity to export your data and terminate.

11. Third-Party Services

The Service depends on third parties, including Vercel and Supabase for hosting and data, Stripe for billing, Resend for email, Anthropic and OpenAI for the automated assistant, Google and Meta for advertising and messaging, GoHighLevel for CRM and messaging where you connect it, and an IMEI lookup provider. Our Privacy Policy lists what each one receives. Your use of a platform you connect is governed by its own terms and privacy policy.

We are not responsible for outages, data loss, pricing changes, rate limits or policy changes by a third-party provider, and we do not control the accuracy, timeliness or completeness of what they return. A provider withdrawing access to its platform may remove a feature from the Service.

Where you supply your own credential for a third-party account, including an Anthropic key or a GoHighLevel token, the agreement with that provider is yours, you pay that provider directly, and you are responsible for reading and complying with its terms.

12. Intellectual Property

The Service, including all software, design, content and trademarks, is owned by One2Many LLC or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes while your subscription is active. All rights not expressly granted are reserved. Feedback you provide may be used by us without obligation.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, the accuracy of data (including IMEI lookups, valuations, advertising figures, attribution, and anything an automated assistant produces), and uninterrupted or error-free operation. We do not guarantee any specific revenue, return on ad spend, sale outcome, deliverability or profit result.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, advertising spend, or loss of goodwill. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limits apply regardless of the theory of liability.

15. Indemnification

You will defend, indemnify, and hold harmless One2Many LLC, its affiliates, and their personnel from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service in breach of these Terms; (c) messages sent on your behalf, including messages sent automatically, and any claim that they were sent without the consent section 7 requires; (d) conversion records submitted from your workspace; (e) your connection to or use of an advertising, messaging or CRM account; or (f) your violation of any law or third-party rights.

16. Suspension & Termination

You may cancel at any time as described in section 4. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, create risk or legal exposure for us, or if required by law or by a platform we depend on.

On termination, your licence to use the Service ends, the automated assistant stops answering, and your storefront stops being served. Your Customer Data is handled as described in section 10. Sections that by their nature should survive, including fees owed, ownership and its limits, disclaimers, liability limits, indemnity and dispute resolution, survive termination.

Terminating your ResellMaxx account does not stop advertising running in a connected account, and does not cancel any agreement you hold directly with a third-party provider.

17. Changes to the Terms

We may update these Terms from time to time. If a change is material, we will give notice, for example by email or an in-product notice, before it takes effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law & Disputes

These Terms are governed by the laws of the State of Oklahoma, U.S.A., without regard to conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration will be the state or federal courts located in Oklahoma County, Oklahoma, and you consent to personal jurisdiction there.

Any dispute arising out of or relating to these Terms or the Service will first be addressed by good-faith negotiation. If not resolved within thirty (30) days, the dispute will be resolved by binding arbitration administered under the rules of a recognized arbitration provider, on an individual basis only. Class actions, consolidated actions, and representative actions are waived to the fullest extent permitted by law. Either party may seek injunctive relief in court for intellectual-property or confidentiality matters. Nothing in this section limits a right you have under the law of your own country that cannot be waived by agreement.
